SILVERPLATTER INFORMATION DATABASE AND SOFTWARE LICENSE

1.0 THE PARTIES

a)

The parties to this license are SilverPlatter, the Customer, and the Authorized User. "SilverPlatter" means an affiliate of SilverPlatter International N.V. that invoices the Customer or the supplier of the Databases. The "Customer" is the person or organization that orders and will pay the fee for access to one or more Databases. The "Authorized User" is the employee or registered patron of the Customer who is eligible in accordance with the terms of this license, and is authorized by the Customer, to access the Databases. Paragraphs 1 through 6 of this license apply both to the Customer and any Authorized User, except where a particular term expressly refers only to one or the other. Paragraphs 7 through 13 of this license apply to the Customer only.

b)

This license applies to Software and Databases. "Software" is SilverPlatter's proprietary search and retrieval software. "Databases" are those searchable electronic databases published by SilverPlatter for which the Customer has paid the appropriate fee or during an authorized trial period.

c)

In granting this license to the Customer, SilverPlatter is also acting on behalf of Information Partners. "Information Partners" are entities that have licensed to SilverPlatter the information in a Database. Each Information Partner retains its right to enforce its trademarks, copyrights, patents, trade secrets and other rights directly against the Customer or Authorized User.

2.0 USER LICENSE

a)

SilverPlatter grants to the Customer a non-exclusive, non-transferable license to access the Databases by means of the Software.

b)

The Databases, the Software and the associated materials (other than portions in the public domain) are the property of SilverPlatter or an Information Partner and are protected by copyright laws and by international treaties.

c)

No title is transferred by this license or by the payment of any fee.

d)

The Customer's rights are limited to itself alone and do not extend to subsidiary or parent corporations, or to any other related or affiliated organizations.

e)

The Customer may permit only Authorized Users to access the Databases.

f)

Any rights not expressly granted in this license are reserved to SilverPlatter and the Information Partners.

2.1 WHAT YOU MAY DO

You MAY:

a)

make searches of the Databases.

b)

make a very limited number of hard copies of any search output that does not contain a significant segment of a database, which copies may be used only internally but may not be sold.

c)

make one copy of any search output in electronic form ( i.e., diskette, hard disk, or tape ( to be used for editing or temporary storage only.

d)

if you are the Customer, make one copy of the Software, for archival purposes only.

2.2 WHAT YOU MAY NOT DO

You may NOT:

a)

decompile or reverse engineer the Software.

b)

sell, distribute or commercially exploit the Databases, the Software, or associated material.

c)

make the Databases or the Software available on a network or through remote access technology, except in accordance with Paragraph 2.4.

d)

transfer, assign or sublicense this license.

e)

transfer the Databases or the Software to hard disk unless authorized by SilverPlatter.

f)

use any Database in any way unless you have agreed to be bound by this license.

2.3 USAGE ON STANDALONE COMPUTERS

If the Customer has paid the fee for usage on a standalone computer, the Databases and the Software may be used only by one Authorized User at a time on a single standalone computer not connected to a network. An additional network fee must be paid for a single user on a network.

2.4 WHICH NETWORK USE IS PERMITTED

Payment of a network fee for a specific number of simultaneous users gives the Customer the right to provide access to the Databases in a single site by means of a local area network whose terminals are physically linked together within the organizational premises for up to that number of simultaneous users only. The Authorized Users must be physically present on the Customer's premises. If the Customer has also paid the appropriate remote access fee, the Customer may provide remote access but only to Authorized Users who are normally physically resident at the Customer's site or to registered students who are enrolled in "distance learning" courses.

3.0 LIMITATION OF WARRANTIES AND LIABILITY

a)

SilverPlatter warrants to the Customer that any disc containing a Database or Software provided hereunder is free from defects in materials and workmanship under normal use. SilverPlatter will replace defective discs free of charge upon their return to SilverPlatter.

b)

If the Customer has paid to access the Database via the Internet, SilverPlatter warrants to the Customer that the total downtime directly attributable to the software developed by SilverPlatter for providing access via the Internet (the "Internet-Access Software") during the first ninety days of the subscription will amount to less than the equivalent of three full days per calendar month. In the event that the total downtime during this period directly attributable to the Internet-Access Software exceeds the equivalent of three full days per calendar month, the Customer may cancel the subscription and receive a pro-rata refund. This warranty does not apply to down-time that results from improper or unskilled use of the Internet-Access Software.

c)

SilverPlatter and the Information Partner warrant and represent that they have the right to enter into this Agreement and to deliver "as is" the Databases and the Software.

d)

THE WARRANTIES EXPRESSED IN PARAGRAPHS 3. A), B) AND C) ABOVE REPRESENT THE ENTIRE LIABILITY OF SILVERPLATTER AND THE INFORMATION PARTNER WITH RESPECT TO THIS LICENSE, AND ARE IN LIEU OF ANY AND ALL OTHER WARRANTIES, WRITTEN OR ORAL, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY OR WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH SILVERPLATTER AND THE INFORMATION PARTNER DISCLAIM.

e)

IF THE DATABASE INCLUDES ABSTRACTS, AUTHORIZED USERS SHOULD CONSULT THE FULL TEXT MATERIALS BEFORE REACHING OR SUGGESTING CONCLUSIONS.

f)

THE PRESENCE IN OR ABSENCE FROM THE DATABASE OF ANY REFERENCE TO INFORMATION, DATA, EVENTS, RESEARCH OR DEVELOPMENTS DOES NOT IMPLY THE SPECIFIC EXISTENCE OR THE NON-EXISTENCE THEREOF, NOR DO THE INFORMATION PARTNER OR SILVERPLATTER CLAIM COMPREHENSIVENESS OR THE ABSENCE OF ERRORS.

g)

IN VIEW OF THE ABOVE, ALL LIABILITY IS DISCLAIMED FOR THE ACCURACY, COMPLETENESS OR FUNCTIONING OF THE DATABASES.

h)

SILVERPLATTER AND THE INFORMATION PARTNER ASSUME NO RESPONSIBILITY FOR THE USE OF THE DATABASES BY THE CUSTOMER OR ANY AUTHORIZED USER, AND SILVERPLATTER AND THE INFORMATION PARTNER SHALL NOT BE LIABLE FOR LOSS OF PROFITS, LOSS OF USE, OR INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES AS A RESULT OF SUCH USE, EVEN IF EXPRESSLY MADE AWARE OF THE POSSIBILITY THEREOF.

i)

IN NO EVENT MAY ANY ACTION BE BROUGHT AGAINST SILVERPLATTER OR THE INFORMATION PARTNER ARISING OUT OF THIS AGREEMENT MORE THAN ONE YEAR AFTER THE CLAIM OR CAUSE OF ACTION ARISES, DETERMINED WITHOUT REGARD TO WHEN THE CUSTOMER SHALL HAVE LEARNED OF THE ALLEGED DEFECT, INJURY, OR LOSS.

j)

NEITHER THE INFORMATION PARTNER NOR SILVERPLATTER SHALL IN ANY EVENT BE LIABLE FOR MORE THAN THE LICENSE FEE PAID (WHETHER SUCH LIABILITY ARISES FROM BREACH OF WARRANTY, BREACH OF THIS CONTRACT OR OTHERWISE, AND WHETHER IN CONTRACT OR IN TORT, INCLUDING NEGLIGENCE AND STRICT LIABILITY).

k)

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO EACH CUSTOMER OR AUTHORIZED USER.

l)

THE PROVISIONS OF THIS PARAGRAPH 3 WILL SURVIVE ANY TERMINATION OF THIS LICENSE.

4.0 APPLICABLE LAW

This Agreement will be governed by and construed in accordance with the laws of Massachusetts without giving effect to the principles of conflict of laws thereof, and to the extent permitted by applicable law, all parties consent to the jurisdiction of courts situated in Massachusetts in any action arising under this Agreement.

5.0 ENTIRE UNDERSTANDING

This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof. Without limiting the generality of the foregoing, it is expressly agreed that the terms of any prior Customer purchase order will be subject to the terms of this license and that any acceptance of a purchase order by SilverPlatter will be for acknowledgment purposes only and none of the terms set forth in the purchase order will be binding upon SilverPlatter. Any representation, promise, warranty, covenant or undertaking not expressly set forth in this license shall not be deemed a part of the Agreement or otherwise legally effective.

6.0 SEVERABILITY

If a term or condition of this license is invalid or unenforceable, the remaining terms and conditions will remain in full force and effect.

The following terms are applicable to the Customer only:

7.0 SECURITY; AUDIT

The Customer will take reasonable action to restrict and control all use of the Software and the Databases, to enforce the restrictions contained in Paragraph 2, and to permit access only to Authorized Users. The Customer is responsible for the compliance by Authorized Users with this license. The Customer grants SilverPlatter the right to audit, during regular business hours, use of the Software and the Databases to ensure compliance with this Agreement, including without limitation, the number of simultaneous users permitted to access the Databases.

8.0 TERM

This license applies to any use of a Database during authorized trial periods, during the period for which a fee has been paid, and at any time when updates and new Databases are being received. When the Customer accepts an updated version of this Agreement, the updated version will replace this version. SilverPlatter reserves the right to cease offering the Customer the opportunity to renew a subscription. If SilverPlatter receives a written request from the Customer to cancel a subscription within 30 days of the invoice date for the subscription, SilverPlatter agrees, upon the Customer's prompt return of any discs containing the Database, to refund any fee paid.

9.0 UPDATES; UPDATED OR EXPIRED DISCS

The Customer will receive, or be given access to, the number of updates to the Database for which the appropriate fee has been paid. In the case of delivery via CD-ROM, upon receipt of an updated CD-ROM disc, or upon termination of this Agreement, the Customer is required to discontinue use of the outdated disc or, in the case of termination, the final disc, and promptly to destroy such disc and erase all electronic storage. In the case of access via Internet, upon termination the Customer shall promptly erase all electronic storage. If the Customer fails to comply with any of its responsibilities under this license, the Customer may be denied future updates, without precluding SilverPlatter from seeking any other remedies.

10.0 INDEMNIFICATION

Excluding claims arising out of or relating to the violation by SilverPlatter or the Information Partner of any third party copyright, trade secrets, or trademark, the Customer, to the extent permitted by applicable law, agrees to indemnify SilverPlatter and the Information Partner and hold them harmless from and against any and all claims of Authorized Users or other third parties arising out of or related to the use of the licensed materials, regardless of whether such claims were foreseeable by SilverPlatter or the Information Partner. The provisions of this Paragraph 10 will survive any termination.

11.0 TERMINATION

If the Customer or an Authorized User breaches any term of this Agreement, SilverPlatter may, in addition to its other legal rights and remedies, terminate the license granted hereunder on 7 days' notice to Customer. Upon any termination for breach, the Customer will, unless otherwise agreed to in writing by SilverPlatter, forthwith return to SilverPlatter the Database, the Software, and any and all documentation pertaining thereto, and all copies thereof, and will erase all electronic storage of copies of the Software and search outputs or other electronic storage. Any termination, whether or not for breach, will not affect any obligation or liability of a party arising prior to termination.

12.0 FORCE MAJEURE

Neither SilverPlatter nor the Information Partners will be responsible for any delay or failure in performance resulting from any cause beyond their control.

13.0 RESTRICTED RIGHTS APPLICABLE TO U.S. GOVERNMENT ONLY

Use, duplication or disclosure of the Database, Software and associated materials by the U.S. Government is subject to the restricted rights applicable to commercial computer software (under FAR 52.227-19 and DFARS 252.227-7013 or parallel regulations). The manufacturer for this purpose is SilverPlatter Information Inc., 100 River Ridge Drive, Norwood, MA 02062.

LICENCE DE LOGICIEL ET DE BANQUE DE DONNEES D'INFORMATION SILVERPLATTER

1.0 LES PARTIES

a)

Les parties a cette licence sont SilverPlatter, le Client et l'Utilisateur autorise. SilverPlatter est la filiale de SilverPlatter International N.V. qui facture le Client ou le fournisseur de Banques de donnees. Le Client est la personne ou l'organisme qui commande et paie les droits d'acces a une ou plusieurs Banques de donnees. "L'Utilisateur autorise" est l'employe ou la personne enregistre du Client qui est eligible conformant aux termes de cette licence et qui est autorise par le Client a acceder les Banques de donnees. Les paragraphes 1 a 6 s'appliquent au Client et n'importe quel utilisateur autorise sauf quand un terme en particulier se rapporte a l'un ou l'autre. Les paragraphes 7 a 13 de cette licence se rapporte seulement au Client.

b)

Cette licence s'applique au Logiciel et aux Banques de donnees. Le Logiciel est un logiciel exclusif SilverPlatter de recherche et de collecte de donnees. Les Banques de donnees sont les banques de donnees electroniques recherchables publiees par SilverPlatter, pour laquelle le Client a paye des droits appropries ou pendant une periode d'essai autorisee.

c)

En accordant cette licence au Client, SilverPlatter agit egalement au nom de ses Fournisseurs d'information. Les "Fournisseurs d'information" sont des entites qui autorisent SilverPlatter a utiliser l'information contenue dans leur Banque de donnees. Chaque fournisseur d'information reserve le droit de mettre en vigeur directement contre le Client ou l'Utilisateur autorise la propriete de ses marques de commerce, de ses droits d'auteur, de ses brevets, de ses secrets de commerce et de ses autres droits.

2.0 LICENCE D'UTILISATION

a)

SilverPlatter accorde au Client une licence non-exclusive, non-transferable d'acces aux Banques de donnees au moyen du Logiciel.

b)

Les Banques de donnees, le Logiciel et les materiaux associes (autres que les elements qui se trouvent dans le domaine public) sont la propriete de SilverPlatter ou de ses fournisseurs d'information et sont proteges par les lois sur les droits d'auteur et par les traites internationaux.

c)

Aucun titre n'est transfere par cette licence ou par le paiement d'aucun droit.

d)

Les droits du Client sont limites a lui seul et ne s'etendent pas a une filiale ou a une societe mere, ou a aucun autre organisme affilie ou parent.

e)

Le Client peut permettre uniquement aux Utilisateurs autorises d'avoir acces aux Banques de donnees.

f)

Tous les droits qui ne sont pas expressement accordes par cette licence sont reserves a SilverPlatter et aux fournisseurs d'information.

2.1 CE QUE VOUS POUVEZ FAIRE

Vous POUVEZ:

a)

faire des recherches dans les Banques de donnees.

b)

faire un nombre tres limite de copies sur papier de chaque produit de recherche, qui ne contiennent pas un segment important de Banque de donnees, qui ne peuvent etre utilisees qu'a l'interieur de son entreprise et qui ne peuvent pas etre vendues.

c)

faire une copie de chaque produit de recherche sous forme electronique, c.-a-d. disquette, disque dur, ou ruban magnetique a utiliser pour edition ou uniquement pour stockage temporaire.

d)

si vous etes le Client, faire une copie du Logiciel, sauf uniquement a des fins de stockage.

2.2 CE QUE VOUS NE POUVEZ PAS FAIRE

Vous ne pouvez PAS:

a)

decompiler ou desosser le Logiciel.

b)

vendre, distribuer ou exploiter commercialement les Banques de donnees, le Logiciel ou des materiaux connexes.

c)

offrir les Banques de donnees ou le Logiciel sur un reseau ou au moyen d'une technologie d'acces a distance, sauf conformement au Paragraphe 2.4.

d)

transferer, assigner ou sous-licencier cette licence.

e)

transferer les Banques de donnees ou le Logiciel dans un disque dur, sans autorisation de SilverPlatter.

f)

utiliser toutes Banques de donnees de quelque maniere que ce soit, sauf si vous avez convenu d'etre lie par la presente licence.

2.3 UTILISATION SUR MICRO-ORDINATEURS

Si le Client a paye les droits d'utilisation sur micro-ordinateur, les Banques de donnees et le Logiciel ne pourront etre utilises que par un seul utilisateur autorise a la fois sur un simple micro-ordinateur non relie a un reseau. Vous devez payer des droits additionnels de reseau pour les utiliser avec votre micro-ordinateur sur un reseau.

2.4 QUELLE UTILISATION SUR RESEAU EST LICENCIEE

Le paiement de droits de reseau pour un nombre specifique d'utilisateurs simultanes donne au Client le droit d'offrir un acces aux Banques de donnees a un site unique au moyen d'un reseau local dont les terminaux sont physiquement lies les uns aux autres dans les locaux de l'organisme, uniquement pour un nombre determine d'utilisateurs simultanes. Les Utilisateurs autorises doivent etre physiquement presents dans les locaux du Client. Si le Client a egalement paye des frais additionnels d'acces a distance, le Client peut offrir un acces a distance, mais uniquement aux Utilisateurs autorises qui se trouvent normalement physiquement dans le local du Client ou a des etudiants inscrits qui suivent un cours d'apprentissage a distance.

3.0 LIMITES DE LA GARANTIE ET DES RESPONSABILITES

a)

SilverPlatter garantit au Client que tout disque qui contient une Banque de donnees ou un Logiciel fourni en vertu de ce contrat est depourvu de tout vice de materiau et de main-d'oeuvre si on l'utilise normalement. SilverPlatter remplacera gratuitement tout disque defectueux qui lui aura ete renvoye.

b)

Si le Client a paye pour acceder la Banque de donnees par Internet, SilverPlatter garantit au Client que le temps total que le logiciel SilverPlatter developpe pour l'acces par Internet ne fonctionne pas a cause d'une faute de logiciel ne sera plus que trois jours entiers par chaque mois calendrier ou l'equivalent. En cas ou le temps total que le logiciel ne fonctionne pas a cause du logiciel developpe pour acces par Internet est plus que trois jours entiers, le Client peut annuler leur abonnement et recevoir un remboursement pro-rata. Cette garantie n'applique pas au temps perdu a cause de l'utilisation incorrecte ou inexperte du logiciel.

c)

SilverPlatter et le Fournisseur d'information garantissent et representent qu'ils ont le droit de conclure le present contrat et de livrer les Banques de donnees et le Logiciel tels quels.

d)

LES GARANTIES EXPRIMEES DANS LES PARAGRAPHES 3 A), B), et C) MENTIONNE CI-DESSUS REPRESENTENT LA RESPONSABITE TOTALE DE SILVERPLATTER ET LE FOURNISSEUR D'INFORMATION PAR RAPPORT A CETTE LICENCE ET REMPLACENT TOUTE AUTRE GARANTIE ECRITE OU ORALE, EXPLICITE OU IMPLICITE, Y COMPRIS LES GARANTIES ILLIMITEES DE COMMERCIALISATION OU LES GARANTIES S'APPLIQUANT A UN OBJET PARTICULIER, TOUTES GARANTIES QUE SILVERPLATTER ET LE FOURNISSEUR D'INFORMATION DECLINENT.

e)

SI LA BANQUE DE DONNEES COMPREND DES RESUMES, LES UTILISATEURS DOIVENT CONSULTER LE TEXTE COMPLET AVANT DE TIRER OU DE SUGGERER DES CONCLUSIONS SUR LES TEXTES CONTENUS.

f)

LA PRESENCE OU L'ABSENCE DANS LA BANQUE DE DONNEES DE TOUTE REFERENCE A DE L'INFORMATION, DES DONNEES, DES EVENEMENTS, DE LA RECHERCHE OU DES DEVELOPPEMENTS N'IMPLIQUE PAS L'EXISTENCE OU LA NON-EXISTENCE PARTICULIERE DE CELLE-CI, ET NI LE FOURNISSEUR D'INFORMATION NI SILVERPLATTER PRETENDENT QUE LA BANQUE DE DONNEES EST COMPLETE OU LIBRE D'ERREURS.

g)

COMPTE TENU DE CE QUI PRECEDE, SILVERPLATTER ET LE FOURNISSEUR D'INFORMATION DECLINENT TOUTE RESPONSABILITE EN MATIERE DE JUSTESSE, DE SUFFISANCE OU DE FONCTIONNEMENT DES BANQUES DE DONNEES.

h)

SILVERPLATTER ET LE FOURNISSEUR D'INFORMATION N'ASSUMENT AUCUNE RESPONSABILITE EN MATIERE D'UTILISATION DES BANQUES DE DONNEES MENTIONNEES CI-DESSUS PAR LE CLIENT OU AUCUN UTILISATEUR AUTORISE, ET NI SILVERPLATTER NI LE FOURNISSEUR D'INFORMATION SERONT RESPONSABLE D'UNE PERTE DE PROFIT, D'UNE PERTE D'UTILISATION, DE DOMMAGES INCIDENTS, CONSEQUENTS OU EXEMPLAIRES OCCASIONNES PAR UNE TELLE UTILISATION, MEME S'ILS ONT ETE EXPRESSEMENT AVERTIS DE LA POSSIBILITE DE CEUX-CI.

i)

EN AUCUN CAS UN CLIENT POURRA INTENTER UNE ACTION CONTRE SILVERPLATTER OU LE FOURNISSEUR D'INFORMATION EN VERTU DU PRESENT CONTRAT, PLUS D'UN AN APRES QUE SE PRODUISE LA RECLAMATION OU LA CAUSE D'ACTION, QUELLE QUE SOIT L'EPOQUE OU LE CLIENT AURA APPRIS LE VICE, LE DOMMAGE OU LA PERTE ALLEGUEE.

j)

NI LE FOURNISSEUR D'INFORMATION NI SILVERPLATTER NE POURRONT, EN AUCUN CAS, ETRE RESPONSABLES D'UN MONTANT SUPERIEUR AUX DROITS PAYES DE LICENCE (QUE CETTE RESPONSABILITE PROVIENNE D'UNE RUPTURE DE GARANTIE, D'UNE RUPTURE DE CONTRAT OU AUTREMENT, ET QU'ELLE FIGURE DANS LE CONTRAT OU PAS, Y COMPRIS LA NEGLIGENCE, ET LA STRICTE RESPONSABILITE).

k)

CERTAINES JURIDICTIONS NE PERMETTENT PAS L'EXCLUSION OU LA LIMITATION DES GARANTIES IMPLICITES OU LA RESPONSABILITE POUR DOMMAGES IMPLICITES OU EXPLICITES, SI BIEN QUE L'EXCLUSION OU LA LIMITATION PEUT NE PAS S'APPLIQUER A TOUS LES CLIENTS OU AUX UTILISATEURS AUTORISES.

4.0 DROIT APPLICABLE

Le present contrat sera regi par les lois du Massachusetts et s'y conforme. Sans donner effet aux principes de conflits de lois et dans la mesure permise par la loi applicable, tous les parties consentent a ce que les tribunaux du Massachusetts aient juridiction sur toute action intentee en vertu du present contrat.

5.0 ENTENTE TOTALE

Le present contrat constitue la totalite de l'entente entre les parties en la matiere. Sans limiter l'application generale de ce qui precede, les parties conviennent expressement que les modalites de toute commande anterieure du Client seront soumise aux modalites du present contrat et que toute acceptation d'une commande liera SilverPlatter. Toute representation, promesse, garantie, contrat ou accord non expressement enonce dans la presente licence ne sera pas considere comme faisant partie de l'Entente ou n'aura aucun effet juridique.

6.0 DIVISIBILITE

Si une modalite ou une condition de la presente licence est invalide ou inapplicable, les autres modalites et conditions demeureront en pleine vigueur et force.

7.0 SECURITE; VERIFICATION

Le Client prendra toutes les mesures raisonnables pour limiter et controler tout usage du Logiciel et des Banques de donnees, pour appliquer les restrictions contenues dans le Paragraphe 2 et pour permettre un acces uniquement aux Utilisateurs autorises. Le Client est responsable pour la conformite des Utilisateurs autorises avec cette licence. Le Client accorde a SilverPlatter le droit de verifier, pendant les heures de travail regulieres, l'utilisation du Logiciel et des Banques de donnees pour assurer le respect de ce contrat, y compris, sans limite, le nombre d'utilisateurs autorises a avoir acces simultanement aux Banques de donnees.

8.0 DUREE

Cette licence s'applique a toute utilisation d'une Banque de donnees pendant les periodes d'essai autorisees, pendant la periode pour laquelle des droits ont ete payes, et chaque fois que des mises a jour et de nouvelles Banques de donnees sont recues. Quand un Client accepte une nouvelle version de ce contrat, la nouvelle version remplace l'ancienne. SilverPlatter se reserve le droit de cesser d'offrir au Client la possibilite de renouveler son abonnement. Si SilverPlatter recoit une demande ecrite du Client d'annuler son abonnement dans les 30 jours de la date de facturation de l'abonnement, SilverPlatter accepte, sur renvoi rapide par le Client de tous les CD-ROM qui contiennent les Banques de donnees, de rembourser tous les droits payes.

9.0 MISES A JOUR; CD-ROM MIS A JOUR OU EXPIRES

Le Client recevra, ou sera donne acces aux mises a jour des Banques de donnees pour lesquels les droits ont ete paye. En cas de livraison sur CD-Rom, a reception d'un nouveau CD-ROM ou a la fin de ce contrat, le Client est exige de s'arreter d'utiliser le vieux CD-ROM ou, dans le cas d'une fin de contrat, le dernier CD-ROM et le detruira rapidement. Il effacera egalement toutes donnees stockees electroniquement. En cas d'acces par Internet, a la fin du contrat le Client doit effacer toutes donnees stockees electroniquement. Si le Client ne remplit pas toutes ses responsabilites en vertu de la presente licence, il perdra tout droit a des mises a jour futures, et SilverPlatter pourra entreprendre d'autres actions.

10.0 DEDOMMAGEMENT

A l'exclusion des plaintes dues ou relatives a la violation par SilverPlatter ou par le Fournisseur d'information de tout droit d'auteur, secret de commerce ou marque de commerce de tiers, le Client, jusqu'au point permis par les lois applicables, convient d'indemniser SilverPlatter et le Fournisseur d'information et de les exonerer de toute responsabilite en cas de plainte par des Utilisateurs autorises, occasionnee ou relative a l'utilisation des materiaux licencies, meme si de telles plaintes auraient pu etre prevues par SilverPlatter ou le Fournisseur d'information. Les dispositions de cette paragraphe (10) survivra toute terminaison.

11.0 TERMINAISON

Si le Client ou l'Utilisateur autorise viole toute modalite de ce contrat, SilverPlatter peut, en plus de ses autres droits et actions juridiques, mettre fin a la licence accordee en vertu du present contrat, 7 jours apres en avoir avise le Client. A la terminaison du contrat, le Client renverra, sauf autorisation par ecrit de SilverPlatter, la Banque de donnees, le Logiciel et toute documentation relative a ceux-ci, et toute copie de ceux-ci, et effacera tout stockage electronique de copies du Logiciel et de produits de recherche ou tout autre stockage electronique. Aucune terminaison, qu'elle soit due a une rupture ou pas, n'aura une incidence sur les obligations ou les responsabilites d'une partie contractees avant cette terminaison.

12.0 FORCE MAJEURE

Ni SilverPlatter ni les fournisseurs d'information ne seront responsables d'un delai ou de dommages occasionnes par une cause de force majeure.

13.0 DROITS RESTREINTS QUI S'APPLIQUENT UNIQUEMENT AU GOUVERNEMENT DES ETATS-UNIS

L'utilisation, la copie ou la divulgation de la Banque de donnees, du Logiciel et des materiaux connexes par le Gouvernement des Etats-unis est soumise aux droits limites qui s'appliquent aux logiciels commerciaux (en vertu de FAR 52.227.19 et DFARS 252.227.7013 ou des reglements paralleles). Le fabricant a cette fin est SilverPlatter Information Inc., 100 River Ridge Drive, Norwood, MA 02062.

EINECS PLUS-CD SUBSCRIPTION AND LICENCE AGREEMENT

1.0 Nature of the Agreement

This Agreement between the Licensors and the Customer constitutes a non-exclusive, non-transferable licence to use EINECS plus-CD ('the Product').

BY BREAKING THE SEAL OR OTHERWISE OPENING THE PACKAGE OR ACCESSING THE PRODUCT, THE CUSTOMER AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

2.0 Definitions

In this Agreement 'the Licensors' mean the European Communities and SilverPlatter; 'the Customer' means the person or organization who has ordered the Product; 'the Product' includes the EINECS plus-CD Database on CD-ROM together with the Search and Retrieval Software, and the two printed EINECS plus-CD and Search and Retrieval Software User Manuals; 'the Supplier' means the Office for Official Publications of the European Communities, SilverPlatter or any other body which invoices the Product to the Customer; and 'SilverPlatter' includes any SilverPlatter entity.

3.0 Ownership of the Product; Copyright

The components of the Product are the property of one or both of the Licensors, and are protected by copyright laws and international treaties.

4.0 Customer's Rights

Subject to the restrictions contained in Article 5 below, the Licensors hereby grant to the Customer a non-exclusive licence to:

a)

make searches of the EINECS plus-CD Database;

b)

make a very limited number of hard copies of any search output which does not contain a significant segment of the Database, which copies may be utilized by the Customer only internally but may not be sold;

c)

make one copy of any search output in electronic form - i. e. diskette, hard disk or tape - to be used for editing or temporary storage only; and

d)

make one copy of the Software, for archival purposes only.

The Customer's rights are limited to itself alone and do not extend to subsidiary or parent corporations, or to any other related or affiliated organizations.

Any rights not expressly granted in this licence are reserved to the Licensors.

5.0 Restrictions

5.1 General restrictions applicable to all licensees

The Customer may not

a)

decompile or reverse engineer the Software;

b)

sell, distribute or commercially exploit the Database, the Software, or the User Manuals;

c)

make the Database or Software available on a network or through remote access technology, except in accordance with Article 5.2 or 5.3;

d)

transfer, assign or sublicense this licence;

e)

transfer the Database or the Software to hard disk, unless authorized by the Licensors.

5.2 Restrictions applicable to Single Users

The Database and Software may be used only by one user at a time on a single standalone computer not connected to a network, unless the Customer has paid the single user network fee, in which case the Database and Software may be used by one user at a time on a network.

5.3 Restrictions applicable to Multi-Users

Provided that the Customer has paid the Supplier the appropriate network fee based on the number of simultaneous users desired, the Customer may provide access to the Database in a single site by means of a local area network whose terminals are physically linked together by cables within the organizational premises for up to that number of simultaneous users for whom the fee has been paid. The users must be physically present on the Customer's premises and be either employees or registered patrons. If the Customer has paid the appropriate remote access surcharge, the Customer may provide remote access but only to employees or registered patrons who are normally physically resident at its site or to registered students who are enrolled in 'distance learning' courses.

6.0 Security; Audit

The Customer shall take reasonable action to restrict and control all use of the Product, to enforce the restrictions contained in Article 5, and to limit access to the Product to those who by the terms of this Agreement are permitted to use it. The Customer hereby grants to the Licensors the right, exercisable during regular business hours, to audit use of the Database to ensure compliance with this Agreement, including without limitation the number of simultaneous users permitted to access the Database.

7.0 Customer support

Any telephone assistance that the Licensors may provide to the Customer is provided at the sole risk of the Customer.

8.0 Term

The term of this Agreement shall be the period for which the Customer has paid the initial subscription fee. The term shall be extended to all periods for which the Customer has paid the then current renewal fee.

In the event that the Licensors supply the Customer with an updated version of this Agreement, the updated version shall replace this version.

The Licensors reserve the right to cease offering the Customer the opportunity to renew the subscription.

If the Licensors receive a written request from the Customer to cancel a subscription within 30 days of the invoice date for such subscription, the Licensors agree, upon the Customer's prompt return of the Product, to credit the Customer for the amount which the Customer was invoiced for such subscription. If the Licensors receive a written request to cancel a subscription after the above 30-day period, they shall deal with such requests at their discretion.

9.0 Updates

The Customer will receive the updates to the Product for which the appropriate fee has been paid. Upon receipt of an updated CD-ROM disc, or upon termination of this Agreement, the Customer shall discontinue use of the outdated disc or the final disc and promptly destroy such disc and erase all electronic storage. If the Customer fails to comply with any of its responsibilities under this Agreement, the Customer may be denied any and all future updates, without precluding the Licensors from seeking any other remedies.

10.0 Shipment

The Customer's licence fee does not include any taxes or customs duties which may be applicable, or shipping and handling charges.

11.0 Licensors' Warranty and Limitation of Liability

The Licensors warrant that any CD-ROM disc licensed hereunder is free from defects in materials and workmanship under normal use. They will replace defective discs free of charge upon their return to SilverPlatter. This constitutes the Licensors' entire liability under this licence.

This warranty is in lieu of any and all other warranties, written or oral, express or implied, including without limitation, warranties of merchantability or warranties of fitness for a particular purpose, all of which the Licensors disclaim.

The Product correlates information extracted from European Community legislation published in the Official Journal of the European Communities (OJ). The Product is published for the guidance of its users, but has no official status. The Licensors do not guarantee its accuracy, or accept liability for the consequences of its use. For authoritative texts the Customer must turn to the European Community legislation as published in the OJ, or to the official texts of national implementing laws.

In no event may the Customer bring any action against the Licensors arising out of this Agreement more than one year after the claim or cause of action arises.

The Licensors shall in no event be liable for more than the licence fee paid (whether such liability arises from breach of warranty, breach of this contract or otherwise, and whether in contract or in tort, including negligence and strict liability.)

Some jurisdictions do not allow the exclusion of or limitation of liability for implied warranties or for incidental and consequential damage, so the above exclusion or limitation may not apply to each Customer.

12.0 Indemnification

Excluding claims arising out of or relating to the violation by the Licensors of any third party copyright, trade secrets or trademark, the Customer agrees to indemnify the Licensors and hold them harmless from and against any and all claims of customers, users, or other third parties arising out of or related to the use of the licensed materials, regardless of whether such claims were foreseeable by the Licensors.

13.0 Termination

If the Customer breaches any term of this Agreement, the Licensors may, without prejudice to their other legal rights and remedies, terminate the licence granted hereunder on seven days' notice to the Customer. On termination pursuant to this Article 13, the Customer will, unless the Licensors otherwise agree in writing, forthwith return to SilverPlatter the Product and all copies thereof, and will erase any electronically stored of copies of the Software and search outputs or any other authorized electronic storage. Any termination, whether or not pursuant to this Article 13, will not affect any obligation or liability of a party arising prior to termination, and the provisions of Articles 11 and 12 hereof will survive any termination.

14.0 Force Majeure

The Licensors will not be responsible for any delay or failure in performance resulting from any cause beyond their control.

15.0 Applicable law

This Agreement will be governed by and construed in accordance with the laws of England. In any action arising hereunder the Courts of England shall have exclusive jurisdiction.

16.0 Entire understanding

This Agreement constitutes the entire understanding of the parties with respect to its subject matter. Without limiting the generality of the foregoing, it is expressly agreed that the terms of any prior Customer purchase order shall be subject to the terms of this Agreement. Any acceptance of a purchase order by a Supplier shall be for acknowledgement purposes only and none of the terms set forth in the Purchase Order shall be binding upon the Supplier. In entering into this Agreement the Customer has not relied on any representation, warranty, covenant or undertaking not expressly set forth herein, and in no event shall any such communication be deemed part of the Agreement or otherwise legally effective.

17.0 Severability

If a term or condition of this Agreement is invalid or unenforceable, the remaining terms and conditions hereof shall remain in full force and effect, and shall be enforceable to the maximum extent permitted by law.

18.0 Single and Multi-User Upgrades

In the event that the Customer is a single user on a single standalone workstation, and it wishes to upgrade its licence to a single user network licence or a multi-user licence, or if the Customer wishes to increase the number of simultaneous users on its multi-user licence, the Customer hereby agrees to notify its Supplier of such a desire and to pay any additional monies that may be due. Upon notification and payment , the Customer will be deemed to have accepted the additional relevant licence terms set forth herein.

19.0 Certain restricted rights

Use, duplication or disclosure of the Database, Software and Materials by the US Government is subject to the restricted rights applicable to commercial computer software (under FAR 52.227-19 and DFARS 252.227-7013).
